GENERAL TERMS AND CONDITIONS OF USE FOR USERS
of the company odyx S.A. (hereinafter "odyx")
Effective from 6/1/2025
1. Preface
These general terms and conditions of use ('GTC') govern the use by Users (hereinafter the 'User' or 'Users') of the odyx software (hereinafter the 'Platform' or 'Website') and/or the odyx intermediation service (hereinafter the 'odyx Service'). The User accepts these GTC upon their first registration to the Software or by using this Software and each time they log in to use the Software thereafter.
This agreement has been drawn up only in the Greek language. Any other version of this agreement is a non-binding translation of the official Greek text. The User has access to these General Terms and Conditions through the Software on their terminal device.
2. Definitions
- 'User' is defined as the individual business or other legal entity or organization that visits and/or uses the odyx Platform and/or Services for the purpose of searching for Professionals who are able to undertake and perform specific Tasks. The Professional offers their services directly to the User.
- 'Provider' means the individual business or legal entity that has created a personal Profile on the Platform and represents themselves and/or their subcontractors regarding participation in the Platform and the provision of Provider Services undertaken through it. The definition of 'Provider' also includes individual businesses or legal entities that are not registered on the Platform but which odyx may contact to serve the User in case there is no registered Provider available to perform the requested Work.
- 'Profile' is defined as the Provider's online presence on the Platform, through which the services provided are promoted. This Profile is accessible through the Platform and belongs exclusively and absolutely to odyx.
«Offer» is defined as the expression of interest by the Provider to undertake a Task posted on the Platform, by submitting an offer.
- 'Provider Service' means any provision of service or product offered directly or indirectly by the Provider, its legal representatives, agents, or employees.
- 'odyx Service' is defined as the intermediary service offered by odyx, in accordance with these General Terms of Service (GTS).
3. Services
Before using odyx Services, the User must register on the Platform by providing true and accurate information during registration (first and last name, phone number, and valid email address) and choose a secure password. Only then is the User entitled to use the odyx software and Services under these Terms and Conditions and applicable law. For more information about the collection and processing of your personal data, please refer to odyx's Privacy Policy.
(2) odyx will provide the User with the Platform and its services for terminal devices that have Internet access, mainly desktop computers, laptops, smartphones, tablet computers (hereinafter 'Terminal Devices'). Through the Platform, the User can use odyx's technological intermediation service, subject to its availability, and enter into a contract for the provision of Provider Services through the Platform.
(3) Odyx offers the ability to choose between up to 3 Providers by comparing the offers they submit for providing a service. Odyx facilitates the comparison of offers through special comparative reports, where the basic characteristics of the offers are automatically summarized, such as the number of person-days, the cost of software and support services, deliverables, and timeline.
When a User submits a request for quotation (RFQ), the platform searches for and identifies potential Providers who have the skills for the specific service and suggests them to submit an offer. The notification of Providers by the Platform is carried out in order of priority (according to their rating from previous customer evaluations and other characteristics, such as size, headquarters location, etc.).
(5) In case a suitable registered Service Provider cannot be immediately found for a request, odyx makes every possible effort to find and register a suitable Provider who will fulfill this request.
The identity of the User and the Provider is revealed upon acceptance of the offer, to ensure transparency in the selection process.
odyx makes every possible effort to ensure the provision of the best possible service, however it does not guarantee and bears no responsibility in case no Professional or no suitable Professional is found for any posted Service. Furthermore, odyx bears no responsibility in case of submission of fraudulent, inaccurate or incomplete Offer by any Professional.
(8) The services provided by the Platform do not include Internet usage, which is a prerequisite for using odyx Services. The User is responsible for ensuring Internet access, for selecting a Terminal Device that meets the technical configuration and performance specifications to be able to use the Application, and for maintaining the necessary software updated, at their own expense.
(9) The User is not charged any fees for using odyx, according to the current pricing policy.
Users have the obligation of non-fraudulent use. The odyx team conducts regular checks for this reason. If it is found that the User is using odyx for any purpose other than finding the appropriate Provider and entering into a service provision agreement with them, then the User may be excluded from using odyx.
The Platform provides exclusively technological intermediation and no other service. Specifically, the use of the Platform does not in any case lead to the conclusion of a service provision contract between odyx and the User. Any claims arising from provided Provider Services will exclusively concern the relationship between the respective Provider and the User. odyx expressly assumes no liability for third parties, particularly for Providers. The charge for the Service provided will primarily concern exclusively the User and the Provider and will be governed by legislative provisions.
odyx may cooperate with affiliated companies or external partners for the processing of billing data.
(13) Rating system: Users who have received a Service from a selected Provider have the ability to rate the quality of the Service and the Provider. Providers have the ability to respond to reviews/ratings concerning them. For details regarding the rating system, Users are referred to the current Privacy Policy for Users.
4. Service availability, modification and termination
The User cannot demand permanent and uninterrupted availability of the Platform, for example, if there is no Internet connection. Nor does the Platform guarantee that a Service will be available to the User for Service provision. However, the Platform will make every possible effort to achieve the highest possible level of availability and eliminate interruptions as soon as possible.
(2) Furthermore, the Platform has the right to temporarily suspend its odyx Services for technical reasons. However, Users will be notified before the Service interruption through the Platform, unless there is an urgent need to suspend services that does not allow the Platform to inform Users accordingly.
(3) The Platform may be modified at any time in a manner that is reasonable for the User, for example, in order to improve the Platform and make qualitative improvements to it.
5. General User Obligations
Only registered Users have the ability to use odyx Services and Platform. Each User can create their personal account by filling in the required fields in the registration form located on the Platform's main page, providing their corresponding data honestly. The Platform maintains discretion, and without bearing any responsibility, may reject account creation requests.
When registering on the Platform, the User is required to enter their full name, company name, Tax ID Number (AFM), and a professional email. The User must always provide their personal data honestly and completely, in compliance with the Platform's corresponding requirements, and maintain and update this data. The User retains the right to access, correct, update, or request deletion of their personal data, as well as request the restriction of processing of their personal data or object to their processing. Furthermore, the User must ensure that during the use of the Platform, no damage, overload, or harm occurs, and the purpose of the Platform is not endangered or bypassed. The User must not bypass or modify the security measures on the Platform, either directly or through third parties.
(3) All software rights remain with odyx company. The User is not permitted to copy, modify, reverse engineer, decompile, or distribute the software provided to the User.
The User must keep their username and password secure and must not provide them to third parties or allow them access to the Platform. Only the User will be responsible for the confidentiality and security of their account. The User must notify the Platform immediately if any third party is using their account without authorization. Specifically, the User is obligated to inform the Platform of any loss, theft, or misuse of their password or smartphone or other Terminal Device with which they use the Platform and the Platform Payment service, or any other unauthorized use of the User's account, password, or other personal identification data. If the User suspects that any of the above has occurred or has become aware of it, they must immediately notify the Platform using the contact form provided by the Platform.
The User is not allowed to store, use or otherwise process the personal data of any other involved party for any purpose other than those of providing services under these GTC and/or transfer them to uninvolved third parties, unless the other involved party has given their consent.
6. Liability
The Platform shall not be liable for the accuracy and completeness of any information provided by the User while using odyx Services.
If the User suffers damages through the use of the Platform, including cases where the damage is due to incorrect or incomplete information, delays in sending information or unavailability/malfunction of the Platform, the Platform will be liable only in case of fraud and/or gross negligence.
(3) odyx Services are intended for adults. Individuals up to 18 years of age are allowed to use the Platform only with the consent of their legal representatives, provided that this is permitted under applicable law. The legal representatives of this minor are responsible for any services used by the minor. Legal representatives are also responsible for monitoring the minor's use.
(4) If the Platform or data transmission damages or destroys the User's hardware or software, the Platform will only be liable if this was caused by willful misconduct or gross negligence on its part or if the user is a 'consumer' as defined in paragraph A.V (2) above. The Platform shall not be liable for the loss of User's data, as it is the latter's responsibility to ensure the creation of backups of their data.
(5) The Platform is not liable for Provider Services, as it only acts as a technological intermediary for the transaction. Any damages affecting the User within the context of the Provider Service which is provided through the Platform's mediation will be settled between the contracting parties of the Service provision contract (i.e., the User and the respective Provider). The Platform bears no responsibility for services performed by the Provider.
The Platform shall not bear any responsibility if it ceases to provide services in whole or in part, temporarily or permanently.
The Platform shall not bear any responsibility for third-party content and links to third-party websites on the Platform.
7. Content Responsibility
In case the Platform allows Users to publish content on it, the User who publishes the material will be solely responsible for the content of the publication. The User is obliged to comply with all laws and regulations in accordance with accepted ethical principles and the requirement of objectivity, as well as rules of decency and correctness.
Before publication, the Platform will perform a check to ensure compliance with these rules. The Platform has the right -but not the obligation- at its sole discretion to immediately remove any published material that violates the above rules. The Platform can in no way be considered to accept or endorse in any way the personal ideas or perceptions expressed in the comments/ratings.
(3) In the event that the Platform restricts all or part of the information provided by the User or terminates this agreement or suspends or ceases the provision of services in whole or in part, the User will receive clear and specific justification from the Platform regarding its decision. The User may appeal against this decision through the Platform's contact form. Additionally, the User is requested to send their complaint, along with all appropriate information and supporting documents (the 'Application') to the following email address: dpo@odyx.gr. The User will receive confirmation that the Application has been received by the Platform, which reserves the right to contact the User to obtain additional information if necessary. The Platform undertakes to provide the User with the results of the Application investigation within a reasonable time period, clarifying that this time period depends on the importance and complexity of the problem that arises. The User may contact the Platform at any time to receive information regarding the processing of their Application.
8. Service Cancellation Terms
Every time the User submits a request to the Platform for mediation in order to find a Provider, the User has the right to cancel their request (withdrawal) without justification and without any charge. This right of the User ceases to be valid after their acceptance of the provision of Services by a Provider of their choice with the signing of a relevant contract on the Platform.
9. Platform Fee Requirements
The Platform may introduce special charges for odyx Services. These charges may vary depending on factors such as, indicatively, the number of requests submitted by the User or the provision of specialized information and indicators. 10. Duration and Termination
The User, from the date of acceptance of these General Terms and Conditions, has the right to withdraw at any time from them without stating reasons and without any charge, by submitting a request to delete their account through the Application. The only exception to this is the case where the User has already signed a contract for the Provision of services with a Provider.
(2) The Platform reserves the right to fully terminate the contract or discontinue the provision of specific services under the contract, with immediate effect, if the User seriously violates contractual or legal obligations.
(3) Furthermore, the Platform reserves the right to terminate or block access of any user, at any time and for any reason, including but not limited to, violation of these General Terms of Use, infringement of third-party rights, or engagement in activities deemed harmful or undesirable for the Platform or other users. In case of termination or blocking, the Platform bears no responsibility for any data loss or other consequences resulting from this action.
Users acknowledge and agree that the Platform is not obligated to provide any justification for the decision to remove or block their access. The Platform's decision is final and is not subject to review or appeal.
The Platform expressly reserves the right to permanently or temporarily suspend the User's account or additional features of the Platform Payment service for the User in the event of pending payment for a Service performed through the Platform.
11. Common final provisions
If a term of these GTC becomes or is unenforceable or impractical or if it contains an unregulated point, the validity of the remaining provisions shall not be affected. A provision that comes as close as possible to the economic purpose of these GTC shall be incorporated to replace the ineffective provision or fill the gap.
(2) The exclusive jurisdiction for all disputes arising from this agreement shall be Greece. (3) Greek law applies to contractual relations, with the exception of conflict of law rules.
(4) The Platform reserves the right to modify, revise, or abolish in whole or in part these General Terms of Use at any time and at its absolute discretion, even without prior notice to users. Changes will take effect after ten (10) days from their posting on the Platform. Users are advised to regularly check the Terms of Use for possible modifications. Continued use of the Platform after the posting of modified General Terms of Use constitutes unconditional acceptance of any modification thereof.

The User is informed that odyx is not obligated to participate and does not participate in dispute resolution procedures before consumer arbitration bodies.
